Terms and Conditions

1. Acceptance of Terms

a. Agreement to Terms: By accessing or using the Prosperity Tax Group website and services, you agree to be bound by these Terms and Conditions and any additional terms and policies referenced herein or available by hyperlink. g. Termination: Prosperity Tax Group reserves the right to suspend or terminate your access to our website or services at any time, without prior notice, for any reason or no reason, including but not limited to your breach of these Terms and Conditions or our belief that your actions may cause legal liability for us or other users.

h. Entire Agreement: These Terms and Conditions constitute the entire agreement between you and Prosperity Tax Group regarding your use of our website and services, superseding any prior agreements between you and us regarding the same subject matter.

2. Use of Website

You may use our website for lawful purposes only and must not violate any laws or regulations in your jurisdiction.

3. Registration

In order to access certain features of our website and the service, you will be required to register an account. You are responsible for maintaining the confidentiality of your account information and for any activity that occurs under your account. You agree to provide accurate, and complete registration information, and to maintain and promptly update such information to keep it current, and complete. You must be at least 18 years of age to accept these Terms of Service and to use the Service.

4. Commissions

a. Commission Structure: Prosperity Tax Group offers a commission-based affiliate marketing program where affiliates earn commissions for referring clients to our business services vendors. Commissions are earned based on the successful conversion of leads referred by affiliates.

b. Client Conversion Requirement: Affiliate commissions are earned only when a referred client decides to sign an agreement with one of the vendors associated with Prosperity Tax Group and pursues services with that company. The decision to engage with a vendor and receive services must be initiated by the client.

c. Payment Terms: Upon successful conversion and commencement of services with the vendor, affiliates will be eligible to receive commissions. However, commissions will be paid out to affiliates the following month after the deal has been finalized, and the client has made payment to the vendor. This payment delay ensures that the client has received the services and payment has been processed before commissions are disbursed to affiliates.

d. Payment Method: Commissions will be paid out to affiliates via the preferred payment method specified in their affiliate account settings. Payment methods may include direct bank transfer, PayPal, or other electronic payment methods.

e. Commission Disputes: In the event of any disputes regarding commission payments, affiliates are required to submit documentation and evidence supporting their claim to Prosperity Tax Group for review and resolution. Prosperity Tax Group reserves the right to investigate and verify commission eligibility before processing payments.

f. Commission Rates: Commission rates may vary depending on the specific arrangement between Prosperity Tax Group and its vendors. Affiliates will be notified of the applicable commission rates and terms upon joining the affiliate program.

g. Modification of Commission Structure: Prosperity Tax Group reserves the right to modify the commission structure, rates, and payment terms at its sole discretion. Any changes to the commission structure will be communicated to affiliates in advance.

h. Tax Reporting: Affiliates are solely responsible for reporting and paying any taxes on commission earnings in accordance with applicable tax laws and regulations.

5. Intellectual Property

All content on our website, including text, graphics, logos, and images, is the property of Prosperity Tax Group and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or modify any content without our prior written consent.

6. Limitation of Liability

a. No Warranties: You expressly understand and agree that your use of the website and services provided by Prosperity Tax Group is at your sole risk. The website and services are provided on an "as is" and "as available" basis. 7. Governing Law

a. Choice of Law: These Terms and Conditions and any disputes arising out of or related to these terms shall be governed by and construed in accordance with the laws of the state of Florida, United States, without regard to its conflict of law principles.

b. Affiliate Marketing Laws: In addition to general contract and commercial laws, you acknowledge and agree that affiliate marketing activities are subject to specific laws and regulations. These may include, but are not limited to, the Federal Trade Commission (FTC) guidelines on endorsements and testimonials, state laws regarding advertising and marketing practices, and regulations governing consumer protection. You agree to comply with all applicable laws and regulations when participating in affiliate marketing activities through Prosperity Tax Group's website and services.

c. Jurisdiction: You agree that any legal action or proceeding arising out of or related to these Terms and Conditions shall be brought exclusively in the state or federal courts located in Florida, United States. You hereby consent to the jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

d. Waiver of Jury Trial: You waive any right to a jury trial in any legal proceeding arising out of or related to these Terms and Conditions.

Miscellaneous

a. Notice: Any notices sent to you pursuant to these Terms of Service will be sent to the email address associated with your account.

b. Assignment: You may not assign or transfer your rights or obligations under these Terms of Service to any party without prior written consent from Prosperity Tax Group. Prosperity Tax Group reserves the right to assign these Terms of Service in their entirety, without your consent, to an affiliate of Prosperity Tax Group in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of Prosperity Tax Group’s stock or assets.

c. Severability: If any provision in these Terms of Service is held invalid or unenforceable for any reason, the remaining provisions shall continue in full force and effect.

d. No Waiver: Prosperity Tax Group’s failure to enforce any provision in these Terms of Service shall not be construed as a waiver of that provision or violation.

e. Injunctive Relief: You agree that in the event of your use of the Service in violation of these Terms of Service, or the threat of either of the foregoing, Prosperity Tax Group shall be entitled to seek injunctive relief.

f. Entire Agreement: These Terms of Service, including any terms incorporated by reference, constitute the entire agreement between you and Prosperity Tax Group, superseding all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
